Funds and securities licences, across three Labuan categories.

As applicants enter Labuan FSA capital markets licensing, the capital floor sits low. Substance compliance, principal officer qualification and professional indemnity cover all decide whether the file stalls or moves through review.

QX Trust files fund manager, fund administrator and securities licensee applications under our own Labuan FSA licence as the recognised party, aligning capital, substance, qualification and insurance before the file is opened.

Your capital-markets file, filed directly by the licensed firm.

QX Trust Co. Ltd is a Labuan Managed Trust Company headquartered in Labuan IBFC. We file applications as the recognised party, not through an intermediary. We serve you in English, Chinese and Malay.

Three licence categories. One filing channel.

Pick the route closest to your capital-market activity. All three run through a Labuan FSA licensed trust company.

Capital, substance, qualification and insurance, one file.

Funds and securities licences are decided on four parallel tests. We coordinate all four before the file enters Labuan FSA review.

  • Capital benchmarked, AUM scaling factor built into projections.
  • Substance plan sized to category: FTE, operating expenditure, office.
  • Principal officer qualification and capital market experience evidenced.
  • Professional indemnity insurance arranged before submission.

Frequently asked.

Direct answers on capital, substance, timelines and category scope.

What is the minimum capital for a Labuan fund manager licence?

A Labuan fund manager requires RM300,000 paid-up capital unimpaired by losses. Where assets under management exceed RM150 million, additional capital of 0.2 percent of AUM in excess of RM150 million is required. Professional indemnity insurance of at least RM1 million is mandatory.

What substance does a Labuan fund manager need?

Minimum two full-time fit-and-proper employees in Labuan, minimum annual operating expenditure of RM100,000 in Labuan, and a local Labuan office. The principal officer must hold a diploma with three years capital market experience, or direct fund management experience.

How long does the Labuan fund manager licence take?

Timelines depend on the completeness of the file and Labuan FSA's review. Bottlenecks usually arise from incomplete director vetting or capital documentation. We close those gaps in the pre-licensing audit before submission.

What is the difference between fund manager and securities licensee?

A fund manager actively manages investment portfolios on behalf of clients. A securities licensee is authorised to deal in, advise on or arrange transactions in securities. Many groups hold both licences to cover the full capital market activity chain.

What is the tax rate for Labuan fund management?

Three percent of audited net profits applies to Labuan fund managers that meet substance requirements. Non-compliance with substance triggers a 24 percent tax rate. We design substance compliance into the operating model from day one.
