Can a Labuan licensee outsource its compliance function?

Yes. Labuan FSA permits operational compliance work to be outsourced, including AML and CFT monitoring, transaction surveillance and policy maintenance. The licensee keeps accountability through a designated compliance officer and board oversight. The outsourced provider must be suitably qualified and bound by a clear service agreement. We run the function day to day while the board retains control.

Who must the compliance officer be under Labuan FSA rules?

The compliance officer must be a fit and proper person, assessed on integrity, competence and financial soundness, with sound AML and CFT awareness and the authority to take corrective action. A group entity may carry out the role provided the individual meets the fit and proper standard. We can act as, or support, the designated compliance officer.

What does an AML and CFT programme include?

An AML and CFT programme covers customer due diligence, enhanced due diligence for higher risk relationships, ongoing monitoring, suspicious transaction reporting, sanctions screening, record keeping, staff training and an independent review cycle. The programme must align with Labuan FSA AML and CFT guidelines and Malaysian AMLA. We build the programme and keep it calibrated to actual flows.

Do all Labuan licensees need a risk management framework?

Licensed Labuan entities are expected to run a documented risk management framework proportionate to their size and activity. The framework typically covers credit, market, operational, regulatory and reputational risk, with defined ownership, risk appetite, controls and reporting into the board or risk committee. We design the framework and the registers behind it.

How does outsourced compliance work alongside our board?

We run the operational compliance function while your board keeps governance and accountability. We maintain the compliance calendar, monitor obligations, prepare board and committee reporting, and escalate issues. The board approves policy, reviews reports and signs off filings. Accountability stays inside the licensee, the workload moves to us.

Corporate governance advisory covers board composition, committee charters, terms of reference, conflict of interest controls and director induction. We align the structure to Labuan FSA expectations and document the governance map so roles, reporting lines and decision rights are clear before a regulator asks.
