Who can act as resident secretary of a Labuan company?

Under the Labuan Companies Act 1990, every Labuan company must appoint at least one resident secretary. The resident secretary must be a trust officer of a Labuan trust company approved by Labuan FSA, or a Labuan or Malaysian domestic company wholly owned by a Labuan trust company and made available for appointment. We provide the resident secretary through our approved trust officers.

When must a Labuan company appoint its resident secretary?

An approved Labuan trust officer is appointed as resident secretary at incorporation, as required for every Labuan company under section 93 of the Labuan Companies Act 1990. The thirty-day rule applies only to replacing a secretary after resignation. In practice the appointment is made at incorporation, because the registered office and the resident secretary are both provided by the same licensed Labuan trust company. We take up the role from day one and hold the statutory registers from the outset.

What statutory records must a Labuan company maintain?

A Labuan company maintains the register of members, register of directors and register of charges under the Labuan Companies Act 1990, together with a register of beneficial owners under the Labuan FSA beneficial-ownership guidelines, along with board and shareholder resolutions, statutory filings and the constitutional documents. When is the annual return due?

The annual return is filed with Labuan FSA under section 109 of the Labuan Companies Act 1990, no later than 30 days before the anniversary of the company's incorporation date each year. Beneficial-ownership particulars are separate: they are maintained in the Register of Beneficial Owners and submitted to the Registrar through the authorised agent under the Labuan FSA beneficial-ownership rules. Late filing attracts penalties and can affect the entity's good standing. We manage the annual return cycle as part of the secretarial retainer.

Can the registered office be at a virtual address?

No. The registered office of a Labuan company must be at the office of a licensed Labuan trust company. A virtual address or post box does not satisfy the statutory requirement. We provide the registered office as part of the corporate secretarial service, and it serves as the official address for all Labuan FSA correspondence.

Why does the resident secretary have to be a licensed trust company?

Labuan FSA requires a regulated party to stand between the company and the regulator. The resident secretary is the principal point of statutory contact, holds the registers, and lodges beneficial ownership particulars. Restricting the role to approved trust officers keeps a licensed, accountable operator responsible for the company's standing.
